By accessing or using the StreamSign digital signage platform ("Service") operated by Aqili, Inc. ("Aqili", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including organization administrators and team members.

2. Description of Service

StreamSign is a cloud-based digital signage platform that enables users to:

• Upload and manage digital content (images, videos, web pages)
• Create and schedule playlists for display
• Register and manage digital signage players
• Monitor player status and analytics
• Manage team members within an organization

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old or the age of majority in your jurisdiction to create an account.

4. Subscription and Payments

4.1 Subscription Plans

The Service is offered under various subscription plans with different features and limitations. Details of current plans are available in the Service, billing workflow, or applicable commercial materials.

4.2 Billing

Paid subscriptions are billed in advance based on your selected plan or commercial agreement. Payment may be processed through a third-party payment provider. You authorize us to charge your payment method for fees incurred under your account or agreement.

5. Acceptable Use

You agree not to use the Service to:

• Upload, display, or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Infringe upon the intellectual property rights of others
• Distribute malware, viruses, or other harmful code
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal purpose
• Resell or redistribute the Service without authorization
• Scrape, crawl, or use automated means to access the Service

6. Content

6.1 Your Content

You retain ownership of all content you upload to the Service ("Your Content"). By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display Your Content solely for the purpose of providing the Service.

6.2 Content Responsibility

You are solely responsible for Your Content and the consequences of uploading and displaying it. You represent and warrant that you have all necessary rights to Your Content.

6.3 Content Removal

We may remove or restrict access to content that violates these Terms, applicable law, or the security and operational requirements of the Service.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Aqili, Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks may not be used without our prior written consent.

8. Termination

We may terminate or suspend your account and access to the Service if you breach these Terms, create security or operational risk, or fail to meet applicable billing obligations.

Upon termination, your right to use the Service will immediately cease. You may request a copy of Your Content before termination. We will retain Your Content for a reasonable period after termination to allow for data export.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AQILI, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Aqili, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Service after an update is subject to the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Aqili, Inc. regarding the Service and supersede any prior agreements.
